If a Pvt Ltd company assigned auditor refuses to file the returns (just few days before the final date) due to some problems between the auditor and the Directors . And neither he is willing to resign what could be the wayout .

As regards ROC Annual return it can be filed by any practicising CA/ CS/CWA.

Please clarify , you mean it doesnt requires previous auditors resignation for ROC returns . But how to tackle https://incometaxindiaefiling.gov.in/portal/companies.do ITR returns . When a present appointed Auditors starts to default/blackmail the complany , ego problem :) .

AGREE.
There is no direct connection between auditor and annual return. However if AGM delays due to auditors neglience in audit, then there may be delay in filing annual return.

There are provisions in the Companies Act for removal of auditors at a General Meeting by giving special notice. This may be followed.
