Director's QUalification

Office of director is an important position. So the person should be capable to enter into contract and as per contract act a Minor is unable to contract. So a minor can not be appointed as a  director.

According to Supreme Court the office of a director is to some extent an office of trust and there should be somebody available on whom responsibility could be fixed. Fixing such responsibility might be difficult if the director is a Minor.

So we can say that the minimum age to be appointed as a director is 18.

Prasanna- i remember one article where it was mentioned the age of independent director as 21-pl dig. Dont know exactly whether it was a recommendation or as per law.

As per sch XIII- Also the age of MD need to be 21.

Rinchak-SC verdict was for the sake of verdict only. when a person with under matric can be the education minister of a state/country-what else we will expect from SC and others-Anyway, u r right

It is advisable Not to mix this simple private limited company query with Sch XIII applicable to a public company. Further there is nothing in law which says or fix 21 year age for a "director" in any kind of company. However sch XIII is quite specific for 21 year age for managerial personnels.

Again it is not advisable to judge or compare the specific company law requirements with general administrative and parliamentary affairs like educational qualification of a Minister or appointment of a director.

My answer was generic as to min age of person to be appointed as a director. The person who asked the Q is well clear /should make himself clear about the applicability of sch XIII
