The time limit for filing of consent with the registrar is extended to 30 days of the appointment as director. Further there is no time limit for filing consent to act with the company.
It may be filed at any time even before the appointment.
Non filing of consent is just an irregularity, and it will not render invalid an appointment made without such consent having been filed, becoz it is only directory not mandatory like sub section (2) of section 264.
