A Director of the Company did not wished to be re-appointed and retired at the Annual General Meeting. I wanted to know what should be shown as the status/position of the Director while filing Form 20B. The information provided in Form 20B should be upto the date of AGM. So, the name of the Director should be shown under the head (i) Details of director(s), Managing Director, manager and Secretary as on the date of AGM; or (ii) Details of director(s), Managing Director, manager and Secretary who ceased to be associated with the Company since the date of last AGM?

You have to show that director as 'who ceased to be a director' and in annual return you have to mention his name in directors list along with his date of cessation.

Thanks Shridhiji.

The annual return is being pepared after the AGM is over. It means at time of making the Annual Return, the person is not a director in the company. Hence, in annual return you will put as the director resigned on date of Annual Return. and in Form 20 B, Put the DIN of teh director resigned

The details of retiring directors is to be mentioned in form 20B because he is ceased to be a director on the date of AGM and details are required to be mentioned since the date of last AGM to the date of this AGM.
