Yes additional director will be appointed by the board who shall hold office up to the date of the next annual general meeting or the last date on which the annual general meeting should have been held, whichever is earlier.
While director will be appointed with the approval of shareholders.

Understand the concept of Additional Director. The Directors are appointed in the General Meeting by virtue of section 152(2). It is not possible for the Companies to hold General Meeting at any time of the year. So, if the Directors are authorised by the the Articles of Association of the Company, the Board can appoint additional director who will be appointed as Director if approved by the Members in the ensuing General Meeting.
They enjoy the same powers as normal Director.

As per section 161(1), additional director shall be appointed by the Company by passing Board resolution in Board Meeting
Whereas the Director shall be appointed by passing ordinary resolution in general meeting.
Additional Director is counted in the total no of Directors. When it is not possible for the Company to hold the AGM , then Company by passing board resolution appoint additional director who shall hold the office till the conclusion of coming AGM and at the AGM such Director is regularuised as the Executive or Non executive independent Director on the terms and conditions as may be agreed by the Board and Members of the Company
