17 September 2010in my pvt ltd. co. 2 director was appointed on 15th aug and i have prepared my form 23ACA on 10th sept for filing purpose to roc. now is it compusory to give detailed of director appointment in form 23ACA. if appointed director signed the hard copy of b/s and p&l a/c . Appointed director confirmation from roc still not received.

respected sir,
if your directors din is registered on mca portal against the cin of that company and you have filed form 32, which was duly approved by the roc. then there is no problem in mentioning the name in 23aca. but if appointment of director is not confirmed by roc, firstly get the approval of srn of form 32 and when the name of director shows in the company sighning authority only then you are able to mention the din of director in form 23aca

but new appointed director signed the b/s and p&l but approval form roc still not received. now can we give another director name in form 23aca who have not signed the b/s .

Since the director has signed the B/S & P&L as a director of the company, his name has to be mentioned in Form 23AC (under details of directors, managers, secretary who signed the balance sheet).
I would suggest to wait for the approval of Form 32 of the director and then file Form 23 AC.

The details of other directors who have not signed the B/S are not required so, can not be given.

Dear Mr. Pawan,
Your company had appointed two directors on August 15, 2010 and you Form 32 is still pending for approval from MCA portal. In this case when you file Form 23 ACA there is no need to give details of directors but in case of Form 23 AC, the details of directors is required to be given, if they signed the balance sheet.
But in your case, the problem will be, if you fill DIN of directors authorized to sign Balance sheet, the form will not pick the data because the form -32 is not approved from MCA.
I will suggest you to wait for approval of Form-32 and please regularize such director on coming AGM.

In Form 23 AC it is not required to give detaols of directors who have not signed the BS and P/L A/c of the Company.
