just file form no. 18 with the mca site, for further reference go to www.mca.gov.in site

Dear Arpit,
Simply pass a board resolution for change in registered address within the same state and file form 18 with ROC within 30 days of passing board resolution.
Revert if there is any doubt.

“RESOLVED THAT in pursuant to provisions of section 146 of the Companies Act, 1956 and any other provisions applicable, if any, the registered office of the Company be and is hereby shifted w.e.f. March 01, 2006

“FURTHER RESOLVED that any director of the Company be and is hereby authorised to furnish necessary paper and documents with the Registrar of Companies of New Delhi & Haryana and do all such act and things as may be considered necessary incidental and ancillary for the above mentioned purpose.”

My Client would like to change Register Ofiice of the Company from Mira Road, Mumbai, Maharashtra to Ghatkopar, Mumbai, Maharashtra. Whether Board can pass the Resolution to give effect of this or members permission is required? And also the procedure to be follow
