Does Share dealing betwwen related parties will be covered under section 92E when one of the related party
is member broker of Stock exchange through whom sale/purchase of shares is done by group companies??

Yes, the transaction falls under the definition International Transaction as defined under Sec 92B by the Income Tax Act for the purpose of Sec 92E.
As per sec 92A, here the relationship is of mutual interest...hence the companies are related parties...
