This is to ask you that what are the procedures for Demerger? can this be passed through circular resolution?

In your case, circular resolution not applicable. Consent of members required and if you are listed company you can pass that resolution though postal ballot u/s 293(1)(a) as provided in section 192A of Companies Act read with Companies (passing of resolutions through postal ballot) Rules.
