Declaration of independence

Independence decleration is required for every diretor as per companies act 2013.

THANK YOU SIR..BUT IS THERE ANY REQUIREMENT IN LODR WHICH SHOWS THE NEED OF DECLARATION

There is no specific provison under LODR as to declaration by Independent Director of his/her independence. We shall follow Section 149(7) of CA 2013 for the declaration. However, declaration under Regulation 25(1) of SEBI LODR is given.

BUT REGULATION 25 (1)  NOT TALKS ABOUT DECLARATION

Rightly pointed out by the Larned member, Under Section 149(7) Every Independent Director shall at the first meeting of the Board in every financial year or whenever there is any change in the circumstances which may affect his status as an independent director, give a declaration that he meets the criteria of independence as provided in sub section (6)of Section 149.

Further, under LODR there is no such declaration of independence.
