v     Directors of a company can not refuse to register the transfer of shares in favour of a person (Who is company’s own employee) on the suspicion that when such person attends the General Meeting he will create nuisance.

v     Directors of a company can not refuse to register the transfer of shares in favour of a person on the ground that proposed transferee has made attempts in the past to wind up the company.
