what is difference b/w adopting a contrat and ratifying a contrat?

To ratify a contact means to accept it in a retrospective manner.
for eg bod appointed an auditor and later on it was ratified by the members in the agm
and adopting means to accept it in a prospective manner
same.eg if the auditor is appointed by the members in an agm
