Sec 125 of the companies act explaining Charging. It is very much available in files protal. Kinldy download it.

Owenrship of a property is bundle of rights. When owner of the property transfers right to sale property to some other person with a view to secure interest of the lender, charge is said to have been created. Before creation of charge, the Board og Directors of the company should have approval of members under section 293(1)(a).
