I think you are talking about section 383A(2)
In short 'compliance certificate' means, A certificate issued by a Company Secretary for compliance or non-compliance of provisions mentioned under companies (Compliance Certificate) Rules, 2001.
Mindwell Compliance Certificate is only Concerned with the Companies Act, 1956 and also 33 points of the compliance certificate shoiuld be preaper in acoordance with the Rules.
Need: the CC is needed to those companies whose paid-up capital more than Rs. 10 lacs and below 5 crores (w.e.f. 15 feb.,2009)
As per Rule 3(2) of the C(cc)Rules, 2001 you can alter only the wording of the CC not the sequance of the 33 points.

Hi Pradeep,
Whatever explained by Mr. Mayur is right. I just want to continue the same towards MCA line.
For submitting the 'Compliance Certificate' to ROC, you have to file Form No. 66.
If paid up capital of Co. is more then 10 lacs, while filing Annual return, it asks you the 'SRN of Form No. 66'
