Company roc filling rules

Respected sir/Mam is it necessary to filing annual roc of a pvt Ltd company which was formed Only 3 months ago i.e. Jan 13 before 30th Sept 13 ,still any work is not start in the company even pan card is not applied till date

AGM should be held within 18 months from the date of incorporation. If you dont hold AGM for dis 6 months period u dont need to do annual filing wid ROC

Thanks alot mam we don't hold AGM till now so roc will lie next year as compulsion rule right? And can u tell me what is the procedure of changing directors of the private company with fees and forms.

Yea, holding AGM and roc forms will be compulsion for next year i.e. within 18 months from date of incorporation. For change in director fille Form 32 and fees depends on authorized capital of the company. Form 32 should be filed withjin 30days from the date of appointment/resignation
