i am having few doubts in companies act 2013.can anybody help me ?

In a private limited company the managing director is a director in other company which didn't file annual returns for 3 continuous financial years.he is not having any retirement clause.disqualification applies only during appointment or reappointment.how will the clause apply to the managing director ?
Kindly clarify.
