Closure of Register of members

Can anybody throw some light on closure of register of members and the procedure for the same???

I believe you are talking about closure in case of unlisted company.

 

In case of unlisted company closure of register of member is governed by section 154. In such company closure is not mandatory but optional. However if you opt to close your register then full compliance of section 154 is mandatory. Like you have to give notice of closure in the news paper and observe the time limits given in the section itself.

Decide a date of book closure as per your convenience. Intimate stock exchange about the date with reason of book closure pursuant to clause 16 of Listing Agreement.

Also intimate your RTA accordingly.

If so, what is that?

Remarks.

 The Register of Members format as per section 150(1) - This is generally kept by the RTA.

The Company maintains the list ofmembers with the name of shareholder and second holder (if any), folio no, number of shares, address, % holding to total capital.

Rest of the details can be taken from the RTA.
