Dear Ankur,
I had a query.
now that companies can publish Unaudited results within 45 days of the end of the quarter, even then, Sec 285 of the Companies Act, stipulates that there should a board meeting in every 3 calendar months. which means, if i want to hold a BM for Unaudited results for 31.03.2010, then the last date would be 30th april itself and not 15th May.
Pls reply.

Let me tell you my practice --- My last BM was in Jan 2010 for adoption of Q3 results. Now our next BM scheduled to be held around 12-15 may 2010 for adoption of Q4 results thereby complying with section 285 along with clause 49 time gap condition.
Further your query is not clear to me. Last date is May 15 in any case. Plz re-draft your query.

can u tell me, how is sec 285 interpreted ie it states that bm to be held in 3 calendar months and shuld be held in every quarter.
should we interpret it as after Jan, we should calculate 3 calendar months or else every quarter there shall be 1 BM.

Dear Priyanka,
Mr Ankur is absolutely right, this is the exact practivce which is followed if the results is unaudited then the last date is 15 May, 2010 but if the results are audited then the last date would be 30th of May, 2010.
Secondly how the last date would be 30th of April under Companies Act.
