Changing the Terms of Compulsorily Convertible Debenture

Dear All,

We want to change  some of  part of the terms  & conditions of  Compulsorily Convertible Debentures issued by us  to a foreign investor.Please throw some light on compliance prospective referring to FEMA, Companies Act & Taxation laws.
