I understand the ‘controversy’ involved. Chandigarh, besides being a capital of Punjab (and Haryana), is also a Union Territory of India. The situation is like that of two lovers making a claim on a beautiful damsel and the father of that damsel has married his daughter to both, yet she belongs to nobody !
However, controversies apart, do not get confused because the change is within the jurisdiction of the same ROC, Chandigarh. When the jurisdiction is within the same ROC, no CLB petition is required to be filed.
Pass a Board resolution. After the registered office is actually shifted to Ludhiana, give a notice thereof to the Registrar within 30 days from the date of shifting. This notice is to be given in e-form no. 18, together with requisite filing fee. Then, give intimation of the new address of the registered office to the Stock Exchanges on which the company’s securities are listed. Give intimation to shareholders and public and change address in all official publications.
