Change of name & objects clause of company

6Dear Respected,

Our Client, a Private Ltd Company Incorporated as per the Companies Act, 1956. Now it want to change its Name & Objective Clause.

What my Query is which clause to be Changed firstly. Whether Name Clause Or Objective Clause or Both can be done simultaneously by filing MGT - 14 and selecting two items in the Form MGT-14.

And one more doubt is that While googling some authors mentioned that while changing clauses of MOA & AOA of Companies Incorporated as per 1956 act, New Set of MOA & AOA needs to be adopted as per the provisions of new act is mentioned. What is it actually?

you can do the both simultaneusly and in case of existing company, the new MOA as per Companies Act ,2013 to be adopted for the same.

Simultaneously both can be done. However, there is no compulsion to adopt new set of MOA and AOA. You can use the existing one after changing name and object clause.
