what would be impact on public limited company, if all directors are resign simultaneously..
resigned directors are hold 40% total share capital and remaining will be held by promotors.

not possible.. who would sign the form of resignation... I think if possible then promoter would become directors

Promoters of the company will have the responsibility to appoint required no. of directors until the conduct of next general meeting

In a case company becomes directorless, directors are to be appointed as provided in sec 168(3)
Promoters will act as directors. In case of a company where no promoters, CG will appoint directors.
Promoters will act as directors. In case of a company where no promoters, CG will appoint directors.

Yes, the Promotors who work as director or the directors appointed by Central Goverment will work upto calling of the general meeting in which the members will appoint Directors.This is machinary for carrying the internal work for calling and arranging the general meeting
