It means the certifying person verify the originals. That particular Resolution recorded in minutes.

Hi Dude,
When I incorporated one company, at the time of opening of bank account, bank officials demanded 'certified true copy of resolution for opening of an account in that bank'. At that time I told company officials to affix round rubber seal of company on such resolution copy and to take signs of both directors along with director stamp.
'Certifying' is nothing but authentication of that document by company officials (Directors).

Certified true copy of the resolution means a copy of resolution passed by the company in general meeting or Board Beeting and certified by designation authority of the company.

i exstremly agree with yogesh shah quote, because when has incorporated at that time, company get it comman seal and not a round rubber seal of company , because it totally differant from comman seal, and the comman seal has to impress on face capy of resolution, M.A, A.A and not any documents of the company.

A certified copy of true resolution is one whose facts are decided in company meeting and printed in company letterhead duly signed by the Company Secretary by affixing the company stamp.
