I would like to know that whether is it a good secretarial practice to get the Extracts of General Meeting Minutes certified by the Chairman of that Meeting only? or it will not make any difference if the same is certified by any of the Directors or CS?

Dear Mitali,
Signature/certification of GM minutes by the chairman of that meeting is no doubt the best secretarial practice. However about signing the same by director or CS I’d like to say that the same signing is good only if GM minutes are already signed by the chairman of that meeting in the records of the company.
In simple words director or CS should sign the GM minutes extracts for the submission anywhere only if the same GM minutes already signed by chairman originally and filed in the original minute book of the company as a backup.
