The word Incorporation refers to the process of formation of the corporate entity such as company or LLP. A corporate entity has separate existence from its owner as you may refer to characteristic of the company. When the corporate entity is born in the eyes of the law, the Certificate of Incorporation is issued by the Ministry.
On the other hand, Certificate of Registration is issued when the entity is registered under specified Act or Department after following the procedure prescribed for the registration.
Know the difference by following examples:
When the company is incorporated, the name and details of it is entered into Register of the Company by the Registrar, which leads to registration of the company. A Company once incorporated can be registered under various departments such as GST, MSME Department, etc. At the end of this process the Certificate of Registration is issued by the respective Department.
A Partnership Firm cannot be incorporated as the Partners and Partnership Firm do not have separate identity alike Sole Proprietorship Firm. Hence, the Partnership Firm can be only registered with the RoF, who issues the Certificate of Registration and not Certificate of Incorporation.
