i 314(1) is not attracted bcoz managing director is exempted frm 314(1) & 314(1b).
ii 314(1b) is attracted slary exceeds rs 50,000/- prior special resolution & approval of C.G required.
iii 314(1) is attracted. note: 314(1b) is not attracted even though the salary exceeds rs 50,000/- bcoz,office or place of profit is held under the subsidary co.& not under the company.
