BOD resolution to sell a property

Hi One and All, 

Have couple of queries. 

1) is BOD resolution of a pvt Ltd to sell a property by a person (Non bod) is enough for registration or a GPOA registration is mandated?

2) if BOD resolution is enough should it be a form part of the sale deed.?
