Can anyone please clarify as to who can sign a certified true extract of Board Resolution which is sent to Banks, etc for some official purpose. Is it only the Chairman of the Board in the particular meeting who can sign a certified true extract of a Board Resolution or any direcor or secretary?
Also please clarify as to who can sign the Minutes book of the Board.

The Managing Director should sign the Board Resolution. Even the Authorised Signatory ( One of the Directors) can sign that..
