“RESOLVED THAT, Shri X-man or Shri Y-man , Directors of the Company be and are hereby severally authorised to represent the Company for obtaining registration and liasioning before any Central/State Government, Judicial/Non-Judicial authoriries, Foreign/ Local authorities etc., including Income Tax, Sales Tax, Service Tax, Customs,Excise,District Industries Centre, State Electricity Distribution Company Limited, Industries Development Corporation, Pollution Control Board and such other authorities and to sign, execute all documents, deeds, agreements, Power of Attorney, papers, secrecy agreement, non-disclosure agreement, commercial and technical agreement etc., as may be required by any such authority(ies)/ clients/ parties and to affix Common Seal of the Company wherever required and to do all such acts and things as may be necessary and incidental thereto.”
