there are two director of the company. One in india and one in abroad and they are not abel to attend meeting. Is this is possible that they can attende the meeting through telephone or video conference or any other means.

Dear Ashish,
Yes, they can attend the Board Meeting through video conferencing mode. However, there must be 4 Board Meetings duly conveyed as mentioned in the Company Law. In additiion thereto Board Meeting can be held through Video Converencing mode.

As per my view u can hold the board meeting through video conferercing just u recording of the meeting done which becoming the conclusive evidence.
Becuase in the companies, act silen about this provison. Just u check that in that meeting suppose u giving authority for banking operation than bank can accept through video conferenciing resolution or not.

They can not treat this meeting for fulfilliing provision of minimum meetings ;Co. act do not allow telecon. as a duly convened meeting till today.

The pratice of holding meetings electronically does not have statutory authority and has yet to be tested by the courts. However, the company may hold Board Meeting electornically if and only if the Articles of the company carries such provision. Since, the Companies Act, 1956 and the Table A is silent on this provision, authority has to be given by the Articles of the Company
