Audit of private limited company

HELLO SIR, Here is one pvt. ltd. company which is registered in 2010. Till from beginning not done the Audit nor ROC filling. Now it want to do audit. Please suggest 1. what type of default it has made??? 2. What procedure we follow for audit and ROC filling??

1) disqualification of directors
2) non filing of accounts and rerurns

Instead of paying attention to the defaults, you should focus in completing the audit and regularise all filings with ROC as usual. Thereafter you should file application for compounding of offences under the Act, which will mainly relate to delay in filing returns/holding AGMs etc.

but my advise is dont compound offences unless you receive notice, once you receive do it or else don't compound

however as agarwal sir said file all the thinga
