Mr. A, working as a full time employee in XYZ Pvt LTD and he has been appointed as MD in ABC Pvt Limited - a private company subsidiary of public company (Subsidiary Company of XYZ Pvt Ltd).
Hi,
Simply pass a board resolution for the appointment of Mr. A as MD of ABC private limited.and file form 32 with 30 days of passing BR.

Form 32 is only for the appointment. Which form is to be filed for the remuneration of MD and other terms and conditions of appointment.
No need to file any form w.r.t. the remuneration of director in private company.

if i wish to increase salary of md and directors in pvt company what resolutions need to be passed
U have to pass SR in General meeting for increase the remuneration of MD & Director
Plz find the necessary attachment

section 314 is not applicable to pvt co then why a special resolution in general meeting is required
