Pl advice in the following issue
A listed company wants to appoint an employee as a Director. What is the Procedure for the appointment? whether Board resolution and Form 32 is enough for his appointment as additional Director or since he is in the whole time employment, he should be appointed as WTD.? Whether Form 25C should be filed in case the company comply with schedule XIII and a profit making company. Whether Shareholders approval is necessary or the appointment can be regularised at the subsequent General meeting.?
