Can an Additional Director be appointed by passing Resolution by Circulation?
Following resolutions pertaining to Directors should not be passed by circulation.
1. To fill casual vacancy in the Board
2. Appointment or resignation of Managing Director or whole-time director or Manager
3. Appointment of a Managing Director /Manager as a Managing Director/Manager in more than one company
Appointment of Additional Director is not included in the above list. Hence I suppose..this can be passed by Resolution by Circulation.
