As per the Section 203

A company having paid-up share capital of Rs. 10.00 crore and more, shall have a whole-time KMP

a. Managing Director

b. CFO

c. Company Secretary

Suppose a Company Secretary appointed in the company as a probation period of six month, then after the six month he confirmed for the post.

My question is that, whether it is required to file DIR-12 with the ROC, for the appointment when he is in probation period or it is required to file after probation period when it is confirmed.

Dear Prusty,

Every KMP including company secretary need to be appointed by way of passing resolution in board meeting, hence i feel, irrespect of probation period, DIR 12 need to be filed within 30 days of actual appointment, not on the confirmation.
