As per section 179(3) of the Companies Act 2013, there are certain matters which can be passed only through the board meeting and not by the circulation. As in a public Company whose paid-up capital is 10 crore or more, CS is considered as KMP, and as per section 179(3) any appointment or removal of KMP, cannot be made by circulation resolution and can only be passed by passing Board resolution in board meeting
