Should Appointment of Branch Auditor require explanatory statement in AGM?

DEAR EXPERTS,
BRANCH AUITORS ARE BASICALLY APPOINTED TO CARRY OUT AUDITING WORK OF THE COMPANY"S BRANCH- INFACT BRANCH AUDITORS ARE REQUIRED TO CARRY OUT THE SPECIAL BUSINESS WHICH HAS TO BE CONDUTED BY THE COMPANY. BR AT BM NEEDS TO BE PASSED FOR APPOINTING BRANCH AUDITOR- EXPLANATORY STATEMENT IS REQUIRED AFTER EVERY RESOLUTION IS PASSED.
