Appointment of Additional Director and Whole time Director

Hi

Even I would like to know the procedure to appoint an additional director who is in whole time employement of the Pvt Ltd Co and draws remuneration form the Co.

Queries are:

1) He will be considered as Whole Time Director or Executive Director

2) Only Board Resolution and Form 32 after Board meeting and again after AGM is enough

3) Form 23 is required to be filed after Board Meeting

4) can we state catagory as Professional

5) does he come under purview of  sec 314

6) formalities to be complied with in case of increase of his remuneration

kindly share the Board and AGM resolution for the same.
