yes, the new director can be present in the BM for a/cs approval of 10-11 though he is taken to Board after 31/03/2011. He can be a signatory too.

Normally directors are present in the AGM. But can a stand be taken that a director who is not a shareholder is not entitled to be present in the AGM ?

There is no section for the above secretarial practice. He can sign all the documentation and attend all the board meetings.
