can a pvt ltd.co. may hold his agm other than his registered office or outside India if his 7 out 6 share holder is foreign

Yes but after taking approval from the government to conduct AGM outside India.

Go through section 96(2) Provided further that centeral government may exempt...

Proviso of sec 96(2)
provides that central govt may exempt any company by imposing conditions !!

yes company is freely to AGM outside India as per section 96 (2)
