Amendment in agreement

The whole time director was re-apointed  in the board meeting in june'09

Subsequently, the members approved his appointment and remuneration at their mg. held in  jully' 09

His service agreement was  inked. Form 23 was filed with the agreement attached to it.

The Central govt. approved his appointment and remuneration, in august 2011.

This has necessitate  to carry our certain amendments in the terms and conditions of his appointment/payment.

What should we do now?

can we  amend the agreement, by way of letter- to be presented in the next board meeting and to be signed by the parties to the original agreement.? and give effect to the amendment and pay him accordingly.

 Pl. advise on the course of action to be taken, keeping in mind the agreement, pre approval, already filed with MCA.
