Allotment of shares

Company received money from a person in 2012 and now the company wants to allot the shares against the money received. Can the company do so and what will be provisions and consequences for that??

i am doing the same for last year..there is quite alot of trouble doing the same

what kind of trouble?? is dis possible??

filing issues..u cant file pas-3 later than 270 days...the penalty is huge

M nt sure but its jz a suggestion that you can revert the allotment money and pass fresh SR and then file the forms. Isnt it possible? coz 4 years gap is a serious issue, the penalty will be heavy one!

No its not possible to revert the money, as it is enter in books of account and same has been utilised. is there any solution??

Oh! Its a big amount i will appreciate if some CA or other related Prof. can guide over this. If SR can be passed again cz as per the act you have time of 12 months to allot shares and if it lapse then you have to revert the amount also i guess.

If shares are not alloted with in the period of 60 days than it will be treated as Deposits under section 74 of companies act 2013. and will attract huge penalty.

Just allot share in current date and file to ROC

its not possible..i have the same issue..the amount has been shiown in balance sheet..and its over and above a year to it..so even i am confused how to do it
