Allotment of shares

Dear All, One of my company wants to increase itz paid up share capital for which Allotment of shares is required to be done Can anybody please suggest me should i go for Private Placemet, right issue or preferential allotment ??? It is a private limited company with AC of 1cr , PC of 10 lacs and want to increase itz paidup cap to 30lacs. the shares are going to be alloted to existing one shareholder Plz suggest asap as itz urgent

Dear Dhara,

My suggestion is Private Placemet, do you have any doubts regarding this i will clarify you. The same situation i too had faced earlier. I will support in documentation point of view.

Thank u so much for ur reply. if poss Can u plz forward me the procedure and documents to be attached in word format for the same. This is the first time i am doing after the commencemet of new act so having many doubts in it

Increasing of capital

.1.Convene B.M and issue notice calling EGM

2.Hold EGM- Pass it as special resolution

3. Sent letter of offer In form no PAS-4 along with application to proposed subscribers

4.File MGT-14

5.File- SH-7 for chnge of capital structure

Allotment:-

1. File GNL-2 with the attachments(Private placement offer letter in PAS-4 and PAS-5 Record of private placement)

2.File PAS-3 along with the list of allottes.

In my case my AC is 1cr and paid up is 10Lacs need to increase to 30Lacs. so i only have to file form GNL 2 and PAAS 3 form along with Pass 4 & 5 as attachments ? no need of MGT 14 & SH7 right?
