What is the procedure for allotment of shares under the new Companies Act. Require all details regarding meeting, notices, resolutions and forms to b filed.

Form PAS-3 needs to be filled with the office of ROC along with certified copy of Board Resolution and the list of allottee.

Do we have to conduct an EGM and pass spcl resolution for the same according to the new act.
