AGM without approval of annual a/c

As per section 210 adoption of annual accounts at the AGM is mandatory. So you cannot held your AGM without approval of at the AGM.

However if accounts are not ready by the time of AGM than you may adjouned your AGM without adoption of accounts. Later on at the adjourned AGM you may approve the accounts. But this adjourned AGM must be held within statutory time limit u/s 166 read with section 210.
