In exercise of the powers conferred by sub-section (1) of section 620
of the Companies Act, 1956 the Central Government has made the
amendments in the provisions for the place for the holding of AGM
under section 166(2) as under:
The earlier notification of the Government of India in this behalf vide
notification number S.R.O. 355, dated 17 January, 1957 has been
further amended by replacing the words "such other place as the
Central Government may approve in this behalf', by the words :
"some other place within the city, town or village in which the
registered office of the company is situate or such other place
as the Central Government may approve in this behalf"
Accordingly, under section 166(2):
Every annual general meeting shall be called for a time during
business hours, on a day that is not a public holiday, and shall
be held either at the registered office of the Company or "some
other place within the city, town or village in which the registered
office of the company is situate or such other place as the Central
Government may approve in this behalf"
Therefore, now with the permission of Central Government the
AGM may be called at any place.
