As per the provisions of Co's Act AGM shld be held in Registered office, is there any exceptions to this. Since now a days al MNC's Shareholders are from abroad and only for the sake of AGM they shld come down to India.

if u are a pvt co. then if al members agree, pass a resloution to hold agm at a place so convinent. but if u are a public ltd co, den no choice. its either at the regd off, city town or village within which ur regd office lies!
Dear Mr.Chetan thanks for replying. But i have a doubt since this option has not specifically given in the act. My case it is Private ltd and shareholders wil agree for your option. CAn u tel me any decided case law or any reference plz.
Dear Mr. Manoj The option of conducting the AGM other than the register office of the Company is given to the Private limited Company in Companies Act 1956 it self. Read proviso (b) to the sub section 2 of the section 166 of the Companies Act 1956 care fully So in your case, it is the Private limited Company and after passing of resolutions by 100% majority a company can conduct the AGM at abroad also.
