there is a private limited company as ABC STEEL & ISPAT PVT LIMITED.. now it wants to untertake the activity of work relating to black stone, lime stones etc..(cutting, polishing etc.) and the company wants to insert the clause relating to the buciness of stones under the MAIN OBJECT clause....
Can anyone tell me the procedure for the addition under the main object clause in the PVT Co.???

1) check whether reasons for alteration to objects clause is within provisions of section 17 (1)
2) Convene a board meeting to discuss the same
3) pass a special resolution at the shareholders meeting
4) intimate roc within one month of date of such resolution
5) incorporate necessary clause in MOA

pass special resolution and file form 23 within 30 days. Also attach altered moa with form.

Addition in the object clause of MOA amounts to alteration of object clause of MOA for which you need to fulfil the requirements specified in 17(1).
