Well your doughts lacks clarity hard to understand what really you want to know but as per my understanding in any contracts in terms and conditions there shall be mentioned that in case of one party fails to perform is duties under agreement the imdemnifier the so called third party mostly banks in case pay indemnity holder for any loss but there shall be one more clause as you said that niether party shall be responsible for any thing that is beyond their control Act of God

Act of God would b counted for the purpose of indemnity contract.
