A non - executive director can be a service provider???????t

A Chartered Accountant in Practice is a non - executive Director in a Company. Can he would be a service provider to the company? . I read in  Company law book of CS executive programme as per Clause 49 of Listing Agreement a Non- Executive director cannot be a service provider to the Company. It is only applicable or Listed companies or to Unlisted Public and Private Companies also.

No where in Clause 49 of Listing Agreement, presecribes about "Non Executive Director" cannot be services provider to the Company, it is defined,  who is Independent director in Clause 49 of Listing Agreement.

But it is specified in section 226 (3) (b) an officer or employee of the company shall not be qualifed for appointment as auditor of the company.

 

 

Hi Sir,

Please look at the attachement  once. I 'm not able to understand this correctly. Independent director is same as executive director or both are different.
